WORRIED ABOUT HMRC OR CREDITOR PRESSURE?

Can I sell company assets before liquidation?

An asset sale before liquidation is not automatically prohibited, but it must be properly justified, valued and recorded. Selling cheaply to yourself or a connected business, or moving property beyond creditors’ reach, can lead to recovery action. Get advice before completing the transaction.

Which assets belong to the company?

Look beyond vehicles and machinery. Stock, customer debts, websites, domain names, software rights, trademarks and other intellectual property may have value. Establish ownership: hired equipment, leased vehicles and stock supplied under retention-of-title terms may belong to someone else.

Prepare an asset schedule showing location, condition, finance and supporting paperwork. A director’s use of an item does not make it personal property.

How should a proposed sale be assessed?

Obtain a credible valuation appropriate to the circumstances and retain the evidence. Explain why the sale helps the company’s creditors, how the buyer was selected and how payment will reach the company. A connected buyer needs particular care.

Book value is not the same as an achievable sale price. Equally, claiming that an asset is worthless is not enough where customers, licences or goodwill give it commercial value.

What changes when a liquidator is appointed?

Control passes to the liquidator. Directors should not continue selling or transferring company property on their own authority. Provide access and information so assets can be assessed, insured and realised appropriately.

A proposed sale of the business may be possible through an appropriate insolvency route. It is not permission to transfer the assets informally first and leave the debts behind.
