WORRIED ABOUT HMRC OR CREDITOR PRESSURE?

Does liquidation lead to director disqualification?

Liquidation does not automatically disqualify a director. Disqualification can follow unfit conduct and may restrict involvement in company management for up to 15 years. If the Insolvency Service raises concerns, obtain legal advice before giving an undertaking or deciding how to respond.

What conduct can lead to investigation?

Concerns can include misuse of company money, inadequate records, serious tax failures and trading decisions that harm creditors. The facts and your responsibilities matter; describing yourself as a non-executive or inactive director does not automatically answer the allegations.

Keep records showing what you knew, when you knew it and what action you took. Explain any limits on your role accurately rather than assuming they remove your duties.

What is a disqualification undertaking?

It is an agreement to accept disqualification without the matter proceeding to a contested order. It has serious consequences and should not be treated as an informal warning. Independent advice can help assess the allegations, proposed period and wider implications.

Distinguish disqualification from a claim for compensation or repayment. Resolving one issue may not resolve the others.

Can a disqualified director still run a business?

A person subject to disqualification cannot simply manage a company through a spouse, colleague or nominal director. Court permission may be required for restricted activities. A passive shareholding is different from directing company affairs, but the actual involvement must be considered.

If you receive a letter, preserve the envelope and documents, diarise the response date and arrange advice. Do not ignore it because the company has already closed.
