Directors are not normally personally liable for a limited company’s debts simply because it fails. Personal guarantees, amounts owed to the company, certain tax notices and misconduct can change that position. Separate each potential liability rather than assuming either complete protection or automatic personal responsibility.

List company borrowing alongside any guarantee you signed. Then check director’s loan balances, dividends, personal use of company funds and correspondence alleging liability. Your shareholding, directorship and employment are different roles with different consequences.
A supplier invoice addressed to the company is not automatically your personal bill. Equally, a personal credit card used for company expenses remains your agreement with the card provider.
A shareholder’s exposure is generally limited to their investment and any amount unpaid on shares, unless they have taken on other obligations or a separate claim applies. A shareholder who is also a director or guarantor needs those roles assessed separately.
Resigning does not erase a guarantee or liability arising from earlier conduct. Keep the resignation records, handover correspondence and evidence of decisions during your time in office.
A spouse does not automatically become responsible merely through marriage. Check jointly signed agreements, security and ownership rather than relying on the family relationship. If a personal claim exists, property and other assets may become relevant to enforcement.
Ask for the legal basis and calculation of any demand. Seek advice promptly where a guarantee, tax notice or recovery claim names you personally, particularly if a response deadline is stated.
If a deadline is approaching, tell us the date when you call.
No. Corporate liquidation and personal bankruptcy are different procedures. Personal exposure may require separate advice, but it is not an automatic consequence.
Check who borrowed and what you signed. A fellow director’s personal debt does not become yours simply because you run a company together.
You may choose to provide funding, but establish the effect on your finances, the company’s viability and the treatment of that funding first.
