General guidance, with procedural detail focused on England and Wales. Rules and routes can differ in Scotland and Northern Ireland.
Unpaid balances, unresolved claims or outstanding tax matters can prompt an objection. Obtain the actual explanation and reconcile it with the company’s records. Do not repeatedly submit applications without addressing the cause.
If the company cannot pay its debts, consider the appropriate insolvency procedure. Strike-off is not an alternative way to avoid the creditor process.
It signals a proposed removal, not confirmation that the company has already ceased to exist. Read the notice and company record carefully. Different strike-off grounds can have different timetables, so do not assume every notice gives the same period.
Interested parties need evidence and must act within the applicable objection window. Once dissolution has happened, an objection alone is no longer the correct route.
Administrative restoration is available only where its conditions are met; otherwise a court application may be necessary. A creditor can seek court restoration in eligible circumstances. The purpose, applicant, reason for dissolution and time limits all matter.
Money or assets left behind can create a separate problem because dissolution can pass property to the Crown. Obtain restoration and asset-recovery advice rather than continuing to use a dissolved company’s identity.
If a deadline is approaching, tell us the date when you call.
Dissolution is not guaranteed protection. Restoration and other statutory powers may be available depending on the circumstances.
Trading can make a voluntary application ineligible and require withdrawal. Obtain advice and keep Companies House informed as required.
No. While the company remains registered, relevant filing obligations continue. Check what is outstanding.
