WORRIED ABOUT HMRC OR CREDITOR PRESSURE?

How does insolvency differ for sole traders, partnerships and LLPs?

The legal structure determines who owes the debt and which insolvency procedures are available. A sole trader’s business debts are personal liabilities; an LLP has a separate legal identity. Ordinary partnerships require their own assessment, including the partners’ exposure.

General guidance, with procedural detail focused on England and Wales. Rules and routes can differ in Scotland and Northern Ireland.

What options does a sole trader have?

A sole trader cannot use company liquidation to remove personal business debts. Depending on the circumstances and jurisdiction, informal arrangements or personal insolvency options may be relevant. In England and Wales these can include an IVA or bankruptcy, but suitability needs individual debt advice.

Closing the shop or stopping self-employment does not by itself cancel borrowing, tax or supplier balances. Review business and household finances together.

How is an LLP different?

An LLP can use certain corporate insolvency procedures under the legislation applying to it. Members’ guarantees, withdrawals and conduct may need separate review. Limited liability is not permission to withdraw assets before creditors are addressed.

Check whether the business is actually registered as an LLP. Calling a business a partnership in conversation does not establish its legal form.

What should ordinary partners check?

Obtain the partnership agreement, creditor contracts and details of personal guarantees. Establish which obligations are joint, individual or secured, and get advice covering both the business and the partners. A partnership arrangement must fit the legal structure rather than copy a limited-company solution.

Rules differ across England and Wales, Scotland and Northern Ireland. Confirm the relevant jurisdiction before choosing forms, deadlines or a debt solution.
